Board Structure and Diversity

Embracing diversity, strengthening balance, and advancing sustainable governance.

The Group recognizes strong governance as a critical foundation for stable, transparent, and sustainable business operations. The Board of Directors plays a central role in setting strategic direction, overseeing performance, managing risk, and supporting the Group’s ongoing ESG agenda.

A Balanced and Transparent Board Structure

As of 2025, the Group’s Board comprises 12 directors, including:

  • 5 executive directors or 41.67%
  • 7 non-executive directors or 58.33%
  • 4 independent directors or 33.33% of the total Board

The Group places strong emphasis on the role of independent directors in promoting transparency, objectivity, and balanced decision-making. Independent directors must be free from business relationships or conflicts of interest that could impair their judgment, and their tenure does not exceed nine years, unless otherwise approved by shareholders when appropriate.

To strengthen governance effectiveness, the Group has established six Board committees and working bodies:

  • Audit Committee
  • Nomination and Remuneration Committee
  • Corporate Governance and Sustainability Committee
  • Risk Management Committee
  • Finance and Investment Working Committee
  • CEO Performance Evaluation Sub-Committee

Board Diversity for Effective Oversight

The Group promotes Board diversity across skills, experience, age, gender, and independence to ensure that Board composition remains aligned with the Group’s business profile, strategic direction, and the operating context of the healthcare industry.

In 2025, the Board’s gender composition was:

  • 75% male
  • 25% female

The Group also applies a Board Skills Matrix to ensure that the Board collectively represents competencies that are important to the hospital business, including:

  • Medical services and healthcare management
  • Business and strategic management
  • Organizational development and human capital
  • Sustainability and social responsibility
  • Corporate governance and risk management
  • Finance and accounting
  • Legal and regulatory compliance
  • Engineering and infrastructure
  • Information technology and digital transformation
  • Investment and business expansion

This diversity strengthens the Board’s ability to oversee key matters in a well-rounded way, including healthcare quality, patient safety, risk management, internal control, investment decisions, and technology adoption to support long-term growth.

The Group’s governance structure reflects a strong combination of clarity, independence, diversity, and effective oversight mechanisms. This supports sound strategic decision-making, stronger risk management, and long-term value creation for shareholders, patients, employees, business partners, and all stakeholder groups.
