Board Effectiveness

Reviewing effectiveness, strengthening capabilities, and advancing sustainable governance.

The Group places strong emphasis on Board effectiveness as a key foundation of good corporate governance. Board performance is assessed at least once a year at the full Board, sub-committee, and individual director levels in order to review roles, responsibilities, and governance effectiveness on an ongoing basis.

The assessment covers key areas including Board structure and qualifications, roles and responsibilities, Board meetings, directors’ performance, relationship with management, and director and executive development. The framework is based on the Stock Exchange of Thailand’s guidance and adapted to the Group’s governance context.

The 2025 assessment result was rated Excellent, reflecting an appropriate Board structure, clear roles and responsibilities, effective meeting practices, and continuous development in support of sound strategic decision-making, transparency, and long-term sustainable growth.
